1. HOW TO PLAY: Beginning July 15, 2006 through January 31, 2007, or while supplies last, whichever occurs first, Official Ghirardelli "Chocolate Pleasures" SweetStakes Game Pieces ("game pieces") will be included inside specially marked bags of Ghirardelli Squares® chocolate. If your game piece reveals an instant win message, you win the prize specified (subject to verification). If your game piece does not contain a winning message, see Rule #8 to enter Second Chance Drawing.

2. ELIGIBILITY: The Ghirardelli "Chocolate Pleasures" SweetStakes ("Game") is open to legal U.S. residents, who are 18 years of age or older as of July 15, 2006. Employees of Ghirardelli Chocolate Company ("Sponsor"), Don Jagoda Associates, Inc., their respective parent companies, subsidiaries, affiliates, and the directors, officers, employees, agencies, any of their respective partners, prize suppliers (collectively, the "Sponsor Affiliates") or any of the members of their immediate family (defined as spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren) or same household of each are not eligible to win.

3. NO PURCHASE NECESSARY: To receive a free game piece without a purchase, send a self-addressed, stamped envelope, to: Ghirardelli "Chocolate Pleasures" SweetStakes 2006 Request, P.O. Box 7965, Melville, NY 11775- 7965. Limit one request per stamped envelope. Requests must be postmarked by January 31, 2007 and received by February 7, 2007. No mechanically reproduced or photocopied requests accepted. Residents of the state of VT may omit return postage. No responsibility is assumed for lost, late, illegible, misdirected or postage-due requests.

4. GRAND PRIZE, APPROXIMATE RETAIL VALUE AND ODDS: One (1) Grand Prize - A seven (7) day/six (6) night trip for two (2) to San Francisco, CA, the original home of Ghirardelli Chocolate Company. Trip may be taken during the Ghirardelli Square Chocolate Festival in 2007, at Sponsor's sole discretion. Prize includes round-trip coach air transportation from the major airport closest to the winner's home to San Francisco, CA, based upon scheduled air transportation, meet and assist services upon arrival in San Francisco by limousine driver, with round trip limousine service from/to San Francisco International Airport and Mark Hopkins Hotel, seven (7) days/six (6) nights King (or Double - Double) accommodations at the Mark Hopkins Hotel (based on double occupancy and availability), a "Welcome to San Francisco" Basket of select Ghirardelli products, four (4) tour experiences, a half day Spa Experience at Elizabeth Arden for winner and guest and a pair of orchestra seats at a current Sponsor-selected San Francisco show. (ARV up to $10,000). The Sponsor reserves the right to substitute the prize (or portion of prize) with prize of comparable or greater value if the prize cannot be awarded as described for any reason. Odds of winning a Grand Prize are 1:1,500,000.

5. FIRST PRIZES, APPROXIMATE RETAIL VALUE AND ODDS: Twenty-five (25) First Prizes - A $250 "Spa Experience". Awarded in the form of a $250 gift certificate from SpaFinder. Total approximate First Prize Value is $6,250. The Sponsor reserves the right to substitute the prize with prize of comparable or greater value if the prize cannot be awarded as described for any reason. Odds of winning a First Prize are 1:60,000.

6. SECOND PRIZES, APPROXIMATE RETAIL VALUE AND ODDS: One Thousand (1,000) Second Prizes - A Bag of select Ghirardelli Squares(r) chocolate. (ARV $3.50 each). Total approximate Second Prize Value is $3,500. The Sponsor reserves the right to substitute the prize with prize of comparable or greater value if the prize cannot be awarded as described for any reason. Odds of winning a Third Prize are 1:1,500.

7. HOW TO CLAIM PRIZES: To claim a Second Prize, redeem your winning game piece at any participating Ghirardelli Chocolate retailer for a bag of Ghirardelli Squares® chocolate by March 7, 2007. To claim a Grand or First Prize, mail your potential winning game piece, along with a plain 3" x 5" card on which you have printed your complete name, address, zip code, age and phone number (with area code) to: Ghirardelli "Chocolate Pleasures" SweetStakes 2006 Claims, 4388 Tujunga Ave. #85, Studio City, CA 91604. Potential Grand Prize claim must be sent via Registered Mail, return receipt requested. Proof of mailing does not constitute proof of delivery. Please retain a photocopy of your game piece for your records. No responsibility is assumed for lost, late, illegible, misdirected, incomplete, stolen, postage-due mail, damaged, torn or separated mail. Grand and First Prize claims must be postmarked by February 28, 2007 and received by March 7, 2007. You are not a prize winner until your game piece has been verified/validated by the judges of this promotion and you have complied with these official rules.

8. SECOND CHANCE DRAWING: Any unclaimed prizes will be awarded in a Second Chance random drawing, conducted on or about March 15, 2007, from among all eligible entries received. Drawing will be conducted by Don Jagoda Associates, Inc., an independent judging organization, whose decisions are final and binding on all matters relating to this Game. Odds of winning a Second Chance Prize are dependent upon number of unclaimed prizes and number of eligible entries received. To enter the Second Chance drawing, visit the Ghirardelli web site at www.ghirardelli.com and complete an online entry form, including all requested information. Online entries must be received by 11:59:59 PM ET on March 7, 2007, and must be complete in order to be eligible. Limit one online entry per person/email address. Online entries generated by script, macro or other automated means are void. Normal Internet access and usage charges imposed by entrants' online service will apply. Neither the Sponsor nor the Sponsor Affiliates assume any responsibility for incorrect or inaccurate capture of entry information, including, but not limited to, technical malfunctions, human or technical error, printing errors, lost/delayed/garbled data or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer line or network, computer equipment, software or any combination thereof. Second Chance winners will be notified by mail.

9. GENERAL CONDITIONS: Void where prohibited or restricted by law. No substitution of prize is offered and no transfer of prize is permitted. The submission of potential winning game pieces are the sole responsibility of the participants who assume all risk of loss, damage, destruction, delay and misdirection of the game pieces. All persons, by participating in this Game and/or submitting a prize claim, agree to be bound by these Official Rules and the decisions of the judges, which shall be final and binding. Grand Prize winner and travel companion must travel together on the same itinerary, including the same departure date, destination and return date, and must have valid travel documents (i.e., valid photo ID) prior to departure. Trip must be taken on dates specified by Sponsor. Dates of departure and return are subject to change. If winner is unable to travel by date indicated, prize will be forfeited. Flight schedules are subject to change without notice. Once travel commences, no stopovers are permitted; if stopover occurs, full fare will be charged from stopover point for the remaining segments, including return, of the trip. The Sponsors and the Sponsor Affiliates are not liable for any expenses incurred as a consequence of flight cancellation/delay. Travel must originate and end at the airport nearest winner's home. Certain travel restrictions may apply. Seat selection and timing of trip subject to availability and confirmation of reservations. No cash equivalent or exchange of prize is permitted (except at the Sponsors' sole discretion). Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Grand Prize Winner is solely responsible for any local, state or federal taxes resulting from winning and accepting the prize. Limit one prize per person/family/household.

10. VERIFICATION: The game pieces submitted for redemption become the property of the Sponsor and will not be returned. The game pieces are subject to verification at the sole discretion of Sponsor and anti-fraud detection measures or if found to be photocopied, reproduced, altered, forged, defaced, tampered with, mutilated, stolen, unissued, unauthorized or illegible in any way or if it fails to contain special markings and/or security codes used by Sponsor in this Game. Game pieces will also be void if defective or if it contains printing or other mechanical errors or is printed or produced in error. No prize will be awarded to the holder of game piece which is determined to be void or otherwise ineligible and Sponsor shall have no further obligation or liability in respect thereof except to replace the void game piece with another randomly selected piece if appropriate upon request. No more than the stated number of prizes will be awarded and if there are more prize claims received than the number of prizes offered, the total number of prizes listed shall be awarded via a random drawing from among all persons submitting valid prize claims for that category. Only specially marked Ghirardelli "Chocolate Pleasures" SweetStakes 2006 Official Game Pieces will be accepted and may not be combined with those from any other game.

11. RELEASES: The potential Grand Prize winner will be required to sign and return an affidavit of eligibility and liability/publicity release, except where prohibited, within 7 days of notification before prize is awarded. If the potential Grand Prize winner fails to return the affidavit of eligibility within 7 days, the prize will be forfeited and an alternate winner will be selected from all eligible Second Chance entries received. Grand Prize winner's travel companion (or parent/legal guardian if a travel companion is a minor in his her state of residence) must execute a Release of Liability/Publicity Release (except where prohibited by law) prior to departure. If a potential winner is not reachable at the address provided, and a forwarding address is not made available, then the prize will be forfeited and an alternate winner will be selected. All winners, by acceptance of a prize, agree to release the Sponsor and Sponsor Affiliates from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons and property. Except where prohibited or restricted by law, winners must consent to the use of their names, voices, pictures or other likenesses without compensation for promotional purposes as determined by Sponsor.
